ECONET Code of Ethics
Article 1 (Purpose)
The purpose of this Code is to establish ethical standards that ECONET executives and employees must observe in performing their duties, to promote transparent management that provides customer satisfaction based on sound business relationships with agencies and partner companies.
Article 2 (Scope of Application)
This Code applies to ECONET executives and employees, partner company employees, and stakeholders.
Article 3 (Definitions)
① ECONET: ECONET refers to a vertically integrated, sustainable business network encompassing the entire process from farming to household—cultivation, research, manufacturing, and distribution—with the mission of “delivering the gifts of nature to humanity.” It includes UNIVERA Co., Ltd., NATURETECH Co., Ltd., UNIGEN Co., Ltd., and NAMYANG Co., Ltd. Employees working within ECONET are called “ECONETians.”
② Money or Valuables: Refers to cash, securities, goods, and any other economic benefit.
③ Entertainment / Hospitality: Refers to benefits received such as meals, alcohol, sports activities (such as golf), entertainment, or similar hospitality.
④ Provision of Convenience: Refers to any case in which lodging, transportation, sightseeing assistance, event support, or similar conveniences are provided, excluding money or entertainment, and result in economic loss to the provider.
⑤ Stakeholder: Any individual, corporation, or organization inside or outside the company (including retired employees, business partners, agencies, and customers) who may benefit from decisions or actions taken by employees in connection with their duties.
⑥ Partner Company: Any individual, corporation, or organization that has a business relationship with the company.
Article 4 (Basic Ethics)
① Employees shall clearly recognize their authority and responsibilities and perform their duties with honesty and sincerity.
② Employees shall uphold high ethical values and preserve the honor and dignity of ECONET members.
③ Employees shall not engage in gambling or any behavior that undermines public morality or social norms.
Article 5 (Faithful Performance of Duties)
① All employees shall perform their tasks to the best of their abilities with sincerity, fairness, and honesty.
② Employees shall work efficiently through active cooperation and smooth communication with colleagues and related departments.
③ Employees shall prevent potential risks in decision-making and take proactive measures and responsibility when issues arise.
Article 6 (Prohibition of Financial Dealings, Solicitation, and Gift-Giving Among Employees)
① Financial transactions such as loans, co-signing, or guaranteeing between employees are fundamentally prohibited.
② Employees shall not make improper job-related solicitations to each other, nor provide or receive money, entertainment, or any economic benefit in return for solicitations.
③ Offering money or gifts between employees is fundamentally prohibited, except in the following cases:
– A superior voluntarily giving something to a subordinate.
-Gift-giving among team members with mutual agreement for birthdays or special occasions.
– Gifts given purely as an expression of gratitude without expectation of compensation.
④ Condolence or congratulatory contributions among employees are voluntary and follow social norms and customs.
Article 7 (Mutual Respect)
① Employees shall not engage in behavior that violates basic workplace etiquette.
② Employees shall not use rude, insulting, or demeaning language or behavior toward colleagues or superiors/subordinates.
③ Employees shall not discriminate based on academic background, gender, religion, age, or place of origin.
④ Employees shall maintain a neat and dignified demeanor and shall not engage in behavior that causes discomfort or offense to others.
Article 8 (Self-Development)
① Employees shall strive for self-development to become talent capable of leading the company in a rapidly changing economic environment.
② Employees shall provide necessary advice and guidance based on individual aptitudes and strengths and strive to enhance their ability to independently perform their duties.
③ Employees shall share knowledge, both tangible and intangible, acquired in connection with their work for the improvement of the company.
Article 9 (Child Labor)
① When hiring workers under the age of 18, the company must verify age through official family relationship records and obtain parental or guardian consent.
② Working hours for employees aged 15 to 18 shall not exceed 7 hours per day or 35 hours per week. However, with mutual agreement, an additional 1 hour per day or 5 hours per week may be allowed.
③ In accordance with ILO conventions, employees under the age of 18 are prohibited from working night shifts or in harmful or hazardous environments (morally, socially, or health-wise).
④ Hazardous environments refer to tasks that may harm the health, safety, or morality of minors.
⑤ The company shall establish monitoring systems to prevent the occurrence of child labor violations.
⑥ If child labor violations occur, the company shall provide support and rehabilitation programs for affected minors.
Article 10 (Prohibition of Political Activities)
① The company respects personal voting and political rights, but employees shall not engage in political activities in their capacity as employees.
② The company shall not provide illegal contributions or funds to political groups, political parties, or candidates.
Article 11 (Talent Development)
① The company shall establish desirable talent standards and development policies.
② The company shall implement and support systems that enable employees to grow into autonomous and creative talent.
③ The company shall assign duties considering employees’ preferences, aptitudes, and abilities, and support talent development through job performance.
Article 12 (Fair Treatment)
① The company shall provide opportunities for employees to enhance their abilities (such as training, job rotation, promotion, and appointments) based on objective and fair criteria, without discrimination by academic background, gender, or region.
② The company shall establish objective evaluation standards and fairly assess employees based on their qualities, capabilities, and achievements, encouraging self-development and ensuring fair compensation.
Article 13 (Respect for Personal Rights)
① The company shall ensure personal privacy as long as it does not disrupt workplace atmosphere or public order.
② The company shall establish systems and an environment that allow employees to freely express suggestions, proposals, and concerns.
③ The company shall not encourage or coerce participation in activities related to specific religions or political parties and shall respect personal religious and political beliefs.
Article 14 (Health and Safety)
The company shall take necessary and appropriate measures to protect employees’ health and workplace safety. In workplaces with hazardous factors, special safety measures must be implemented.
Article 15 (Providing Truthful Information)
① Employees shall provide only truthful information to customers and shall not convey false facts or misleading information.
② Employees shall actively provide customers with any legitimate information they request.
③ Employees shall faithfully inform customers of any information they need to know or that should reasonably be disclosed for customer benefit and safety.
Article 16 (Best Quality and Service)
① The company shall provide customers with the highest quality products and services through technological development and quality improvement.
② The company shall respond promptly and accurately to legitimate customer complaints and service requests.
Article 17 (Customer Protection)
① Commitments made to customers shall be kept faithfully and sincerely.
② Customer information shall be protected and not used against the customer’s wishes.
③ The company shall conduct business under the principle that customer benefit is company benefit.
Article 18 (Compliance with Fair Transactions)
① Employees shall comply with local laws and regulations in business activities and perform duties in accordance with commercial practices.
② All qualified companies shall be given the opportunity to participate as partner companies, and registration and selection shall be made based on objective and fair criteria.
③ Information shall be collected through legitimate means, and acquired information shall not be misused or leaked externally.
④ The company shall engage in fair competition with competitors in accordance with free market principles.
⑤ Employees shall not engage in actions that violate fair trade-related laws.
Article 19 (Prohibition of Improper Conduct)
① Employees shall not use their position to receive money, entertainment, hospitality, or convenience from stakeholders or partner companies in connection with their work.
② Employees shall not notify stakeholders or partner companies of personal family events in a manner that imposes burdens on them.
③ All transactions shall be fair and based on sufficient prior consultation regarding conditions and procedures.
– When terminating a relationship with a partner company, the company shall notify them of the clear reason and date. The company shall not use unfair methods or unilateral pressure to discontinue transactions and must ensure fairness before termination.
– When changing contract terms, the company shall consult with the relevant company in advance and document the changes.
– Evaluations of partner companies shall be conducted based on objective and clear criteria to ensure fairness.
④ Employees shall not engage in unethical conduct that violates social norms by using their position, including:
– Leasing assets or receiving collateral from stakeholders or partner companies for personal convenience or benefit.
– Using stakeholders or partner companies for personal financial gain such as debt repayment or loan guarantees.
– Borrowing money or gaining benefits by purchasing movable or immovable property at unfairly low prices from stakeholders or partner companies.
Article 20 (Mutual Growth)
The company and partner companies shall strive to create a transparent business culture through fair and rational business relationships and work toward mutual growth based on the tangible and intangible benefits derived.
Chapter 6: Responsibility Toward the State and Society
Article 21 (Fulfilling Social Responsibility through Business Activities)
① The company shall not engage in activities that deny or violate the free market economic order.
② The company shall respect the customs and cultures of countries in which it operates and faithfully perform the rights and obligations as a member of society.
③ The company shall fulfill its social responsibilities through job creation, responsible tax payment, education, donations, and sharing activities.
④ The company shall encourage and actively support employees’ volunteer and social activities.
⑤ The company shall firmly reject corruption that undermines sound corporate activities.
Article 22 (Environmentally Responsible Management)
① The company shall minimize the emission of pollutants and take all necessary measures to prevent harm to local communities in case of accidents.
② The company shall make efforts to earn customer trust through waste management, energy saving, and product quality improvement.
③ The company shall actively participate in environmental conservation activities together with partner companies, customers, and local communities to create an environmentally friendly corporate culture.
Article 1 (Effective Date)
This Code of Ethics shall come into effect on February 1, 2015.
Article 2 (Non-Retroactivity)
This Code shall not apply retroactively to actions occurring before the enforcement date.
Article 3 (Commitment to Practice)
To ensure full implementation of this Code, separate ethical practice pledges to be observed by employees shall be established and operated.
Article 4 (Rewards and Disciplinary Action)
Employees who comply with this Code and contribute to ethical management may be rewarded, while those who violate the Code or practice guidelines shall be subject to disciplinary action. Rewards and disciplinary measures shall follow the procedures of the Personnel Committee and may apply to individuals or departments.
Article 5 (Interpretation and Application)
If employees have questions regarding interpretation or implementation of this Code or practice guidelines, they shall consult the ECONET Ethics Committee. In cases where company and individual interests conflict, company-wide interests shall take precedence, and decisions shall be made in consultation with the Committee.
Article 6 (Relation to Other Internal Regulations)
This Code shall take precedence over other internal regulations except for statutory laws or employment rules.
Article 7 (Operation of Internal Reporting System and Self-Reporting Program)
① The company shall take all possible measures to ensure smooth operation of the internal reporting system and protection of whistleblowers. Self-reporting shall be given maximum protection from disadvantages.
② Any reported money, entertainment, gifts, etc., shall be returned or used for community service activities according to internal procedures.
